Terms and Conditions of Service
Statement of Application
These Terms and Conditions of Service (“Terms”) are binding upon Nova Parcel Service, LLC (“CARRIER”) and any individual or business entity using transportation or logistics services provided by CARRIER (“SHIPPER”), unless the parties have entered into a separate written agreement signed by both parties, in which case that agreement shall govern in the event of a conflict.
“SHIPPER” includes the consignor, consignee, beneficial owner, or any party tendering freight to CARRIER or receiving transportation services. Use of this website, electronic communications, or booking services with Nova Parcel Service, LLC constitutes acceptance of these Terms.

1. ROLES OF THE PARTIES​
1.1 Nova Parcel Service, LLC is a motor carrier authorized by the U.S. Department of Transportation and applicable state agencies to transport property in interstate and intrastate commerce.
1.2 SHIPPER is any individual or business tendering freight to CARRIER for transportation.
1.3 SHIPPER represents and warrants that it has full authority to tender the freight and bind itself and any owner of the freight to these Terms.

2. CARRIER’S DUTIES AND OBLIGATIONS
2.1 CARRIER agrees to transport freight with reasonable dispatch, subject to equipment availability, lawful driving limitations, weather, traffic conditions, mechanical issues, and other factors beyond CARRIER’s control.
2.2. CARRIER shall transport shipments in compliance with all applicable federal, state, and local laws and regulations.
2.3 CARRIER is not responsible for loading or unloading freight unless expressly agreed to in writing.
2.4 Pickup and delivery times are estimates only unless a written guaranteed-service agreement is executed and an additional fee is paid.

3. SHIPPER’S DUTIES AND OBLIGATIONS
3.1 SHIPPER shall provide accurate and complete shipment information, including description, weight, dimensions, value, origin, and destination.
3.2 SHIPPER is responsible for proper packaging, labeling, and securement of freight suitable for motor carrier transportation.
3.3 SHIPPER warrants that all freight tendered complies with applicable laws and regulations.
3.4 Payment for base transportation services and any selected add-ons is due prior to delivery unless otherwise agreed in writing.
3.5 If actual mileage exceeds the mileage paid by more than twenty (20) miles, SHIPPER authorizes CARRIER to issue an additional payment request based on the applicable per-mile rate.
3.6 Late payments may be subject to interest up to eighteen percent (18%) annually and reasonable collection costs, including attorney’s fees.
3.7 Credit card payments may be subject to a processing or convenience fee.
3.8 SHIPPER agrees to pay all accessorial charges, including detention, waiting time, re-delivery, tolls, port or airport fees, and delays caused by SHIPPER or consignee.

4. RATES AND CHARGES
4.1 Rates are based on information provided by SHIPPER. Any inaccuracies may result in rate adjustments.
4.2 Quotes, estimates, and rate confirmations apply only to the specific shipment described and are subject to these Terms.
4.3 Unless SHIPPER requests a declared value in writing and pays an additional charge accepted by CARRIER, shipments move subject to standard carrier liability limits.

5. ELECTRONIC COMMUNICATIONS & PAYMENTS
5.1 SHIPPER consents to receive invoices, confirmations, and service communications electronically.
5.2 SHIPPER may remit payment electronically to accounts designated by Nova Parcel Service, LLC.

6. LIABILITY & LIMITATIONS
6.1 CARRIER’s liability for loss or damage is governed by applicable federal law, including the Carmack Amendment (49 U.S.C. §14706), where applicable.
6.2 CARRIER is not liable for loss or damage caused by:

Acts of God
-
Acts of public authority
-
Acts or omissions of SHIPPER
-
Improper packaging or loading
-
Inherent nature of the goods
6.3 CARRIER shall not be liable for consequential, incidental, or special damages, including loss of profits or market.

7. CLAIMS PROCEDURE
7.1 Visible loss or damage must be noted on the delivery receipt at time of delivery.
7.2 Written claims must be filed within nine (9) months of delivery or expected delivery.
7.3 Any legal action must be commenced within two (2) years of written denial of the claim.

8. DOCUMENTATION
8.1 Bills of lading and shipping documents provided by SHIPPER are deemed accurate and binding.
8.2 Any conflicting terms in SHIPPER-generated documents shall not modify these Terms unless expressly agreed to in writing by CARRIER.

9. INDEMNIFICATION

9.1 SHIPPER agrees to indemnify, defend, and hold harmless Nova Parcel Service, LLC, its owners, officers, employees, and agents from all claims, damages, fines, penalties, and expenses arising from SHIPPER’s breach of these Terms, including improper packaging, inaccurate shipment information, or regulatory violations.

10. HAZARDOUS MATERIALS
10.1 SHIPPER shall not tender hazardous materials unless expressly authorized in writing by CARRIER.
10.2 SHIPPER is solely responsible for compliance with all hazardous material laws and regulations.

11. FORCE MAJEURE
11.1 Neither party shall be liable for failure or delay in performance due to events beyond reasonable control, including natural disasters, government actions, strikes, mechanical failures, or severe weather.

12. NO GUARANTEE OF TRANSIT TIME
12.1 Pickup and delivery times are estimates only unless guaranteed service is purchased in writing. CARRIER is not liable for delay-related claims.

13. CONFIDENTIALITY
13.1 All pricing, rates, and service terms are confidential and may not be disclosed to third parties except as required by law.

14. NO THIRD-PARTY BENEFICIARIES
14.1 These Terms are intended solely for the benefit of CARRIER and SHIPPER and confer no rights on third parties.

15. NON-WAIVER
15. Failure to enforce any provision shall not constitute a waiver of future enforcement.
16. GOVERNING LAW & VENUE
16.1 These Terms shall be governed by applicable federal law and, where not preempted, the laws of the State of Florida. Venue shall lie exclusively in Broward County, Florida.

17. SEVERABILITY
17.1 If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.

18. ENTIRE AGREEMENT
18.1 These Terms, together with any written rate confirmation or service agreement issued by Nova Parcel Service, LLC, constitute the entire agreement between the parties.
